The Sr. Corporate Counsel provides advice and assistance in managing daily corporate governance and fintech legal matters. The incumbent will be responsible for providing comprehensive corporate, regulatory, and commercial legal advice across multiple jurisdictions to designated business development teams and corporate business units. The incumbent will also provide indirect or direct supervision to Legal Specialist, Administrative Assistants, and/or Legal Counsels.
Primary Responsibilities
Supports internal clients by providing general corporate governance and commercial legal and regulatory advice across designated teams.
Provides advice in the following two main categories of Corporate Governance/Finance and Fintech/Crypto:
Corporate Governance/Finance:
Handles assigned corporate governance responsibilities, including but not limited to effectively managing Board and Committee meetings, preparing meeting minutes and consents, reviewing, and revising charters, corporate governance policies and governing documents, and performing other tasks related to legal entity management. Routinely interacts with Board members, C-Suite, and other executives, making the ability to form trusted business relationships essential.
Advise on matters including compliance with agreements underlying the Company's long-term debt agreements, compensation, and benefits, ESG disclosures and stakeholder engagement.
Partner with and advise global cross-functional teams, including accounting, corporate development, stock administration, investor relations, public relations, treasury, tax, payroll, HR, social impact and other legal specializations on a wide range of corporate legal projects, as needed.
Fintech/Crypto:
Assists in the negotiation, drafting and amendment of complex agreements for potential digital partners, including, but not limited to, crypto wallets.
Assists in the review and negotiation of other contractual arrangements of the group.
Advises the business on legal and regulatory matters, in conjunction with local counsel, in relation to the provision of MoneyGram services in each of its applicable jurisdictions.
Obtains advice, performs research, and drafts memoranda on legal aspects of the roll-out of new products and the development of new distribution channels. Provides advice on the legal aspects of proposed marketing campaigns and promotions, data protection and privacy laws and anti-trust compliance where applicable. Instructs and manages outside counsel in numerous jurisdictions as directed by the Associate General Counsel, Crypto and Fintech or General Counsel.
